GENERAL T&CS
- Definitions
1.1 “Goods” refers to the items listed on any Masterpiece Systems Limited forms, price lists, quotations, orders, or invoices.
1.2 “Client” refers to the individual or entity purchasing goods or services from Masterpiece Systems Limited.
1.3 “Masterpiece Systems Limited” refers to the company providing goods and services.
- Prices and Quotations
2.1 The price of goods and services shall be as per Masterpiece Systems Limited’s prices at the time of the order or quotation.
2.2 Masterpiece Systems Limited reserves the right to modify the prices of the goods and services without prior notice to the Client.
2.3 Any quoted price is subject to availability of goods and may change based on cost fluctuations (including currency changes). Price increases will apply only if goods have not been dispatched to the Client.
2.4 Prices are exclusive of VAT and subject to stock availability.
2.5 Masterpiece Systems Limited will not be bound by errors, including typographical or clerical mistakes, in documents or quotations.
- Payment Terms
3.1 Payment for goods and services is due as per the following:
- Cash on Delivery for Nairobi and surrounding areas.
- Prepayment for all Upcountry orders unless a credit facility has been granted.
3.2 In case of a dispute regarding the amount due, Masterpiece Systems Limited’s prices as per its prevailing price list will apply, and the Client will be bound by them.
3.3 The Client shall not withhold payment or apply any deductions for any reason.
3.4 Masterpiece Systems Limited has the right to suspend deliveries or refuse orders if any amounts owed by the Client remain unpaid.
3.5 Any credit, allowance, or indulgence given by Masterpiece Systems Limited does not create a right to further credit or allowances.
3.6 The Client acknowledges that overdue payments or dishonored cheques will result in the immediate due date of the entire balance.
3.7 The Client is responsible for any bank charges incurred by Masterpiece Systems Limited for cash deposits, forex payments, or dishonored cheques.
3.8 Masterpiece Systems Limited reserves the right to suspend all services, including warranty services, if payment remains overdue.
3.9 Payments exceeding KES 500,000 (inclusive of VAT) must be made via bank transfer, and stock will not be released until payment is confirmed.
3.10 Proof of payment will be accepted only when confirmed by Masterpiece Systems Limited.
3.11 Strictly no refunds will be provided for returned stock. Credit will remain on the Client’s account for one year.
3.12 Ownership of goods remains with Masterpiece Systems Limited until full payment is received.
3.13 The Client will bear any costs related to the collection of unpaid amounts.
- Orders
4.1 The Client confirms that the goods and services listed in the tax invoice reflect their order, and upon delivery, they have inspected and accepted the goods.
4.2 Masterpiece Systems Limited will accept orders in writing or verbally. Orders are binding and may not be canceled or varied without written consent from Masterpiece Systems Limited.
4.3 Orders are considered irrevocable offers to purchase goods at the price prevailing when the order is placed.
4.4 Masterpiece Systems Limited reserves the right to cancel orders not collected within one week.
- Warranties
5.1 Goods may be covered by the manufacturer’s warranty, excluding all other guarantees, including common law warranties.
5.2 Warranties will be void if:
- Goods are misused, altered, or subjected to improper maintenance.
- Goods are serviced by unauthorized personnel.
- The original tax invoice is not provided.
- Seals are broken or removed.
5.3 Warranty claims require the original tax invoice and proof of return with all accessories.
5.4 Damage caused by lightning, surges, physical damage, or liquid is not covered under warranty.
5.5 Masterpiece Systems Limited disclaims implied warranties and any liability for consequential damages or loss of profits.
5.6 The Client is responsible for shipping faulty goods to Masterpiece Systems Limited for inspection. If no fault is found or the goods are out of warranty, the Client must collect them at their own cost.
5.7 Masterpiece Systems Limited may replace faulty goods on an advance swap basis, with prior agreement. If no fault is found, Masterpiece Systems Limited will invoice the Client.
5.8 The Client indemnifies Masterpiece Systems Limited against claims from third parties related to defects in goods or services.
- Refurbished / Certified Refurbished / Ex-UK Products Warranty
6.1 Factory refurbished products are tested and restored to working condition, but may contain pre-used parts or show signs of wear.
6.2 These products carry limited warranties and may have minimal support from the manufacturer or Masterpiece Systems Limited.
- Repairs
7.1 Repairs may take up to 12 weeks if performed by the original manufacturer.
7.2 Liability for repairs is limited to the cost of repair, replacement, or credit, at Masterpiece Systems Limited’s discretion.
7.3 The Client is responsible for collecting repaired goods at their own cost.
7.4 Uncollected repaired goods may be sold by Masterpiece Systems Limited after 30 days to cover repair costs.
- Returned Goods
8.1 Return of Unwanted Goods:
- Returns are accepted only within 7 business days after delivery.
- Goods must be in their original packaging with accessories and manuals intact.
- No cash refunds will be provided.
8.2 Return of Goods that did not Match the Order:
- Goods must be returned within 7 business days if they do not match the order.
- If not in original condition, the Client may be charged a reasonable amount as per the Consumer Protection Act.
8.3 Return of Defective Goods:
- Defective goods may be returned for replacement or repair if still under warranty.
- No refunds will be provided for defective goods.
- Delivery Information
9.1 Masterpiece Systems Limited may charge delivery fees at specified rates.
9.2 Delivery is deemed complete when a signed delivery note is obtained from the Client or their agent.
9.3 Masterpiece Systems Limited may split deliveries or engage third-party carriers to deliver goods at the Client’s cost.
9.4 If the Client opts for their own third-party transport, Masterpiece Systems Limited is indemnified against any claims.
9.5 Delays in delivery will not entitle the Client to cancel the order or claim damages.
9.6 The Client must inspect the goods on receipt and report any damage or discrepancies within 2 business days.
9.7 Goods taken on approval, evaluation, or consignment are deemed sold if not returned within 7 working days.
